TOKYO (January 29, 2008)-Japan Blue Sky Capital Partners, L.P., Japan Banking Investment Partners, L.P., Tokyo Capital Management Partners, L.P., and Cayman Strategic Partners, L.P. (collectively, the "Prospective Bidders") received approval today from the Commissioner of the FSA to become major shareholders of a bank. The Prospective Bidders had applied separately for the necessary approval to become major shareholders of a bank on December 21, 2007, pursuant to Paragraph 1 of Article 52-9 of the Banking Law.
The Prospective Bidders intend to acquire shares and share purchase warrants (collectively, the "Shares") of The Tokyo Star Bank, Limited (the "Target Company") through a tender offer for the Shares (the "TOB"). Details of the terms of the TOB, including the TOB period, will be announced separately. The Prospective Bidders had made receiving the approval one of the conditions for commencement of the TOB. Certain conditions remain in the TOB Agreement entered into by and between the largest shareholder, LSF-TS Holdings SCA and the second largest shareholder, LSF-Tokyo Star Holdings SCA, which may trigger termination of the agreement, including a Material Adverse Change.
